How to sell off-plan property in Dubai before handover
Get the developer’s NOC and confirm the seller’s initial registration. Data context: Dubai South, median price per sq ft: AED 1,655.
Agree payment and assignment terms before completing the registered transfer. DLD says resale before final registration is possible with a developer NOC. Check the project’s written conditions, remaining instalments and who receives each payment; an NOC alone is not the completed transfer.

What must happen before an off-plan resale can complete?
Check the right being sold. Get the developer’s written transfer terms and NOC. Then register the transfer of rights. DLD’s FAQ explains resale before final registration. An off-plan unit or deferred-sale contract can be resold after obtaining a developer NOC.
Start before agreeing to pay. Separate the seller’s payment from instalments still due to the developer. Ask which papers and approvals you need. Agree who will register the transfer of rights.
Use this completion sequence as your checklist:
- Verify the seller’s initial registration and unit details.
- Get the signed purchase contract and current payment account.
- Confirm project-specific transfer terms with the developer.
- Agree the resale price breakdown and duties still owed.
- Get and review the NOC and any linked undertaking.
- Confirm the steps to register and pay with the handling parties.
- Complete the transfer of rights and get the issued proof of the new record.
- Match receipts and the new buyer’s remaining payment schedule.
Which documents establish what is being sold?
Ask for the original buyer’s contract and first registration details. Add the payment record. Compare the seller’s identity, project and unit across them. Ask whether the seller acts personally or through someone else. Have that person’s power to act checked for this transfer.
DLD’s initial-sale service describes registering an off-plan purchase in the provisional register. The interim-register law provides the legal registration framework. Ask your adviser which recorded right passes to the new buyer.
Use the Oqood and title-deed guide if the documents are unfamiliar. A transfer of off-plan rights differs from a ready-home title transfer. Ask what new record the buyer receives at this stage.
Check the project through DLD’s status enquiry. Match the official project details to the contract and NOC request. Resolve wrong names or unit details before the transfer meeting.
Is there a universal minimum paid percentage?
Get the relevant rule from your contract and the developer’s current written transfer rules. DLD’s transfer of rights FAQ does not supply a single paid percentage for all projects. Do not commit on the assumption that another project’s rule applies to yours.
Ask the developer for an account showing each payment credited. Check overdue sums and the next instalment. Then check the balance left. Ask whether you must pay anything before seeking an NOC. Agree who pays it and how it changes the final settlement.
If an instalment falls due during the planned transfer period, address it explicitly. Record whether the seller pays it before transfer or whether another written arrangement has been accepted. A buyer’s promise to complete later does not itself amend the existing payment schedule.
How should you separate the price and remaining instalments?
Ask for a written completion statement. Show what the buyer pays the outgoing seller. List the balance due to the developer separately. Then list other sale charges.
| Settlement item | What to establish |
|---|---|
| Seller’s agreed proceeds | Amount, recipient and payment trigger |
| Developer payments already made | Credited receipts and account reconciliation |
| Outstanding instalments | Amounts, due dates and party responsible before transfer |
| Remaining purchase balance | Schedule the incoming buyer will assume |
| Transfer charges | Applicable service, payer and quotation |
| Agent or adviser charges | Written agreement and payment conditions |
| Completion evidence | Registration output and updated account |

Compare the buyer’s full cost with the listed price. Ask whether it includes the balance still due to the developer. Ask for an explicit total. Do not infer it from a listing or a message about the seller’s original deposit.
Use the instalments guide to examine the continuing schedule. Use the buying-costs guide for the shared acquisition assumptions. Get the charge quote for this transfer of rights. Check before using a quote for a completed sale.
What should you check in the NOC?
Match the named parties and property to the permitted sale. Read the terms and expiry. Read any separate promise too. Ask your adviser whether the words give up rights or add new payments. Check any condition you have not agreed.
An NOC permits the stated sale. It does not prove the new buyer has registered it. Agree the next steps before paying on the strength of that letter alone.
Ask what happens if the buyer fails to complete. Check the effect on the application and NOC. Then check linked promises. Find out when any release takes effect. Get advice before signing away rights earlier than you intend.
Who should receive each payment?
Check the recipient against the final sale papers. Keep the seller’s agreed proceeds separate from sums owed to the developer. List sale charges separately. Confirm the bank account and payment reference through a trusted channel before sending money.
Dubai’s escrow law governs project accounts for off-plan buyer payments. Ask the developer to confirm the account and how a payment will be credited to the unit. Do not assume that paying the developer also settles money separately owed to the seller.
For each payment, note the amount and recipient. Add the debt it settles. Then note the release terms and expected receipt. Agree the sequence with the parties handling the transfer. If those instructions conflict, resolve the difference before paying instead of choosing whichever account arrived most recently by message.
How do you plan the transfer date?
Ask the developer how long processing takes and what starts the clock. Check the account and applicant’s identity. Ask whether all supporting papers are ready. Note any need for buyer finance or another approval. Check any person’s power to act for you.
Give your adviser those dates before agreeing the sale deadline. Include a practical arrangement for extensions or failure to complete, reviewed for your transaction. A service estimate helps you plan. It does not guarantee every approval will arrive by the date in your contract.
If the property is now completed and ready for final-title transfer, have the handling parties confirm the appropriate route. DLD’s completed-sale service covers ready property. An earlier off-plan transfer of rights may need a different checklist.
What should you receive after completion?
Get the new buyer’s issued record and the developer’s matched account. Match them to the unit and agreed transfer of rights. Check that payments are credited. The remaining schedule should match the accepted transfer terms.
Keep the NOC with signed transfer papers and receipts. Ask your adviser to explain any difference in the issued record before closing your file. The outgoing seller should get written proof of any duties still owed under the checked documents.
For your next purchase, compare actual registered prices in the linked area records. Do not rely on a promised resale premium. An off-plan exit needs a willing buyer and acceptable terms. The transfer must complete. Keep upcoming instalments funded while you wait.

Questions people ask
These answers connect the guide’s main questions with the rules and property data discussed above.
How much must I have paid before I can resell off-plan?
Get the paid-percentage condition for your project in writing. DLD’s assignment FAQ requires a developer NOC; it does not give one universal payment threshold for every project. Check your agreement, current account and transfer conditions before accepting a buyer’s deadline.
Does the resale price mean what the first buyer has already paid?
Not necessarily. Get a breakdown of the seller’s proceeds, the unpaid developer balance and the incoming buyer’s total obligation. Agree who pays each amount and when. A headline asking price does not show how the remaining payment plan will be assigned.
Should I sign an NOC waiver if the buyer might not complete?
Have the waiver reviewed before signing. Establish which rights it releases, when it takes effect and what happens if the buyer fails to complete. Ask for the transfer conditions and any agreed cancellation or expiry arrangements in writing.
Does the buyer or seller handle the developer NOC?
Confirm the applicant and required cooperation directly with the developer and transaction adviser. Agree who submits documents, clears account rules and pays the agreed charges. Record the responsibilities and deadlines in the sale arrangements so that each party knows what must happen next.
How long will the developer NOC take?
Get a current estimate for the specific project and application. Check which documents, account payments and approvals must be complete before processing starts. Allow for those dependencies in your contract; do not treat another seller’s timeline as a guaranteed completion date.
Can I pay the developer rather than the outgoing buyer?
Use the allocation in the checked transfer documents. A payment to the project account may settle a developer obligation without settling the seller’s separately agreed proceeds. Confirm the recipient, account, reference and receipt for each amount before releasing it.
